红人合作侵权?来,看闭坑指南
今年来,很多品牌都会和KOL、KOC进行合作,但是有不少都因为没有版权意识被诉侵权或者视频被盗用但没有办法投诉。那么我们在与KOL/网红合作时,除了效果考核、投放预算,合同与内容管理的合规细节也不可轻视。以下三大策略,帮助品牌堵住常见法律与平台风险,安心释放营销红利。
1.合同中必须包含“防搬运”条款
要让网红/创作者授予品牌独家使用权,合同里至少应囊括以下三项关键条款:

要点说明:1.确保品牌可在所有渠道、所有地域使用素材;
2.约定所有剪辑、再创作、衍生视频的权利归属;
3.明确全球维权,避免对方在海外主张“合同无效”。
2.双平台素材分离,降低二次侵权风险
同一条视频/音频内容在TikTok和Instagram两端重复投放时,极易因“平台搬运”被判定侵权或作弊。操作上应注意:
1)TikTok视频打标签
在视频文案或开头加入#NotForIns,提示Instagram平台该内容为“仅限TikTok使用”。
2)InstagramReels使用专属BGM
选用不同于TikTok原声的背景音乐或配乐,确保两端内容不完全一致。
例如,TikTok用“流行热曲”,Reels可选品牌定制或版权库曲目。
3)视觉元素微调
在两个平台版本间,调整Logo位置、文字效果或滤镜参数,让算法与用户都能分辨为“新”内容。
3.合作结束后及时清理旧素材
即便合作期结束,遗留在品牌和个人主页的合作帖子仍可能被第三方投诉“二次侵权”或“过期授权”。
品牌账号:在合同届满后,立即隐藏或删除与该网红相关的合作帖,避免无授权状态下继续展示。
网红账号:建议与网红约定,合作内容在合同结束时同步下架,保留备份素材存档即可。
温馨提示:
合同中明确合作结束后素材清理期限,如“合作结束后7天内完成全部下架”。
为防止遗漏,可在品牌或BM管理后台设置自动提醒和流程审批。
上三大“闭坑”策略,可以从法律保障,平台合规等层面保护自己的利益
法律层面:确保素材使用与衍生权利归属清晰、全球可追责;
平台合规:避免因素材跨平台重复而触发平台处罚;
后期风险:合作结束后及时清理,杜绝“遗留”纠纷。
